When I got into business brokerage, I did not expect it to be the hardest job I would ever love. It has turned out to be that way. What makes business brokerage challenging is the small number of qualified buyers. Few people have the talent or financial resources to run a business.
What’s more, when a buyer and seller arrive at a tentative agreement, the relationship is fragile. It is prone to trust issues.
The buyer is thinking …
· What do I need to learn about the business that the seller does not want me to know?
· What are the risks involved in buying this business?
· Will the employees defect once they find out their beloved boss is leaving?
· Will competitors steal the customers?
· Do I have what it takes to be successful?
Meanwhile, the seller is thinking …
· What will happen to the employees when I leave. Will they be taken care of?
· If I agree to provide 10% seller financing will this newbie owner pay me back?
· Will the business survive the new owner?
Enter the buyer and seller’s respective attorneys. Attorneys can and do inadvertently derail the sale. The agreement needs to be negotiated more like a pre-nup agreement rather than a divorce agreement. Business transaction attorneys (specialists) do this best. They know how to write reps and warranties that allocate risk. They conduct negotiations in a business-friendly manner.

I have owned my own business, worked in a small business not of my own, and been a licensed real estate broker three decades.
I am also a techy person. I enjoy using AI to find industry specific information. At one point I obtained my Cisco Certified Network Associate Routing and Switching certification—for the heck of it, because continuous learning is part of my nature. I want to know about your business. As a former newspaper journalist, asking good questions comes naturally.
